delivery terms

1. Scope
These terms and conditions of delivery apply to all deliveries, services and offers of Avaluxe International GmbH, an international company operating in PVD technology, unless expressly agreed otherwise in writing.

2. Offer and conclusion of contract
Our offers are subject to change and non-binding. A contract is only concluded upon our written order confirmation or upon the execution of the delivery.

3. Prices and payment terms
All prices are net ex works (EXW according to Incoterms 2025), plus the applicable statutory value added tax and any applicable customs and export duties.
Unless otherwise agreed, payments are to be made net within 30 days of invoicing.

4. Delivery time
Delivery times are given to the best of our knowledge, but are non-binding unless expressly confirmed in writing. Delivery delays due to force majeure or unforeseeable events (e.g., material shortages, transport delays, official measures) entitle us to postpone delivery accordingly or withdraw from the contract.

5. Shipping and transfer of risk
Shipping is at the buyer's risk and expense. Risk passes to the buyer upon handover of the goods to the first carrier or freight forwarder, but no later than when the goods leave our warehouse.

6. Retention of title
The delivered goods remain our property until full payment has been made. If the buyer resells the goods, he hereby assigns all claims arising from this to us.

7. Notification of defects and warranty
Obvious defects must be reported in writing within 7 days of receipt of the goods. In the case of justified defects, we reserve the right to repair or replace the goods. Further claims, in particular claims for damages, are excluded unless there is intent or gross negligence.

8. Export control
The buyer undertakes to comply with the applicable export control regulations of the EU, the USA, and other affected countries. Further export of the delivered products or their technical documentation may require authorization.

9. Place of jurisdiction and applicable law
The place of jurisdiction for all disputes, to the extent permitted by law, is the registered office of Avaluxe International GmbH in Fürth, Germany. The law of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10. Severability Clause
Should individual provisions of these terms and conditions of delivery be or become invalid, the validity of the remaining provisions shall remain unaffected.
